Terms of Use

Last updated: November 1, 2026

These Terms of Use (the “Terms”) constitute a binding legal agreement between you (“you”, “your”, or the “User”) and Skurel Limited, a company incorporated under the laws of the Federal Republic of Nigeria (together with its affiliates, “Skurel”, “we”, “us”, or “our”), and govern your access to and use of the Skurel Platform, our websites, applications, application programming interfaces (APIs), and related services (collectively, the “Platform”).

The Platform is a unified business environment that provides account management, organization workspaces, and a shared wallet for payments and balance management. By registering for an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms, policies, or guidelines made available by Skurel that apply to specific features of the Platform. If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

In these Terms, the following terms have the meanings set out below:

  • “Account” means the individual user account created by or for you on the Platform.
  • “Organization” means the business workspace provisioned at registration to which your Account is attached, together with its members, roles, and shared wallet.
  • “Wallet” means the prepaid balance assigned to an Organization from which fees for use of the Platform are deducted.
  • “Payment Processor” means an independent third party engaged by us to process payments, including card, bank transfer, and related payment methods.
  • “Content” means any data, text, or other material submitted to, transmitted through, or made available on the Platform by you or other Users.
  • “Country of Registration” means the country selected at Organization creation, which determines the currency, payment methods, and compliance regime applicable to the Organization.

2. Eligibility and registration

To register for an Account you must be at least 16 years of age and have the legal capacity to enter into a binding contract. If you register on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the term “you” will refer to that entity.

When registering, you must provide accurate, current, and complete information, including your name, email address, and Country of Registration, and keep this information up to date at all times. You may register using an email address and password, or, where available, by authenticating through a third-party sign-in provider such as Google. Where you use a third-party sign-in provider, you also agree to be bound by that provider’s own terms of service.

Your Country of Registration is fixed at the time your Organization is created and cannot be changed through self-service. It determines the wallet currency, the payment methods available to your Organization, and certain compliance obligations that apply to you.

3. Accounts, organizations, and security

Each Account is personal to the registered User and must not be shared, transferred, or sold. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account, whether or not authorized by you. You must notify us immediately at the contact address below if you suspect any unauthorized access to or use of your Account.

Administrative Users within an Organization (including the User who created the Organization) are responsible for managing member access, roles, and permissions within that Organization, and for the actions of the members they invite. We may implement verification steps, including email verification, before activating certain features of the Platform.

4. Acceptable use

When using the Platform, you agree that you will not:

  • use the Platform for any unlawful, fraudulent, or deceptive purpose, or in violation of any applicable law or regulation in Nigeria or any other jurisdiction relevant to your use;
  • misrepresent your identity or affiliation, or create an Account for any person or entity other than yourself or the entity you are authorized to represent;
  • probe, scan, or test the vulnerability of the Platform, circumvent any authentication or security measure, or interfere with or disrupt the integrity or performance of the Platform or the data contained on it;
  • use the Platform to transmit malware, attempt to gain unauthorized access to any system or network, or engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure;
  • scrape, harvest, or collect information about other Users, or access the Platform by any means other than the interfaces we provide;
  • reverse engineer, decompile, or attempt to derive the source code of the Platform, except to the extent expressly permitted by applicable law;
  • use the Platform to send bulk unsolicited communications, conduct unlawful financial activity, or process payments that violate the rules of any Payment Processor; or
  • use the Platform if you are located in, or are a national or resident of, any country or territory subject to applicable sanctions or embargoes.

5. Wallets, balance, and payments

Access to billable features of the Platform operates on a prepaid basis. You fund your Organization’s Wallet by making top-up payments through the payment methods we make available in your Country of Registration. Funds added to a Wallet constitute a prepaid balance held for the purpose of paying for use of the Platform.

Top-up payments are processed by Payment Processors engaged by us, such as licensed payment service providers and international card processors. We do not collect or store your card number, card verification value, or other full payment credentials. When you make a payment, you are also subject to the applicable terms and privacy policies of the relevant Payment Processor.

The following additional conditions apply to Wallets and payments:

  • Wallet balances are held in the currency of your Country of Registration and do not bear interest.
  • A top-up is credited to your Wallet only after the corresponding payment has been confirmed by the relevant Payment Processor. Pending transactions are not available for use until confirmed.
  • Fees for use of the Platform are deducted from your Wallet at the time the relevant service is rendered. Deductions are recorded in your Organization’s transaction ledger, which is available to you in the Platform.
  • Certain transactions may result in a temporary hold on a portion of your balance until the underlying transaction is finalized, at which point the hold is either settled or released.
  • Refunds are provided at our discretion and in accordance with applicable law. Where a refund is approved, it will be returned to your Wallet or, where appropriate, to the original payment method used for the top-up.
  • You are responsible for the accuracy and completeness of payment instructions you provide to us. Where a payment fails or is reversed by a Payment Processor, the corresponding balance may be withheld, reversed, or removed from your Wallet.
  • If a chargeback, dispute, or reversal is raised against a payment that funded your Wallet, we may suspend the associated Organization and recover the disputed amount from your Wallet balance.

6. Fees and changes

We may change the fees we charge for use of the Platform, or introduce new fees, at any time. Where a fee change materially affects existing prepaid usage, we will provide reasonable advance notice through the Platform or by email. Continued use of the Platform after a fee change takes effect constitutes acceptance of the new fees.

Unless otherwise stated, all fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such taxes relating to your use of the Platform.

7. Service availability and modification

We aim to keep the Platform available and reliable, but the Platform is provided on an “as is” and “as available” basis without any warranty of uninterrupted availability. We may suspend the Platform for planned or emergency maintenance, or modify, discontinue, or remove any feature of the Platform at any time.

We may also set and update usage limits, quotas, and fair-use policies for the Platform. Where a limit materially affects a paid feature, we will provide reasonable notice where practicable.

8. Suspension and termination

You may stop using the Platform and delete your Account at any time. We may, with or without notice, suspend or terminate your Account or an Organization, or restrict access to any feature: (a) if you materially or repeatedly breach these Terms; (b) if we are required to do so by law, a regulator, or a court order; (c) if we suspect fraud, money laundering, sanctions exposure, or other unlawful activity in connection with your Account; or (d) if we discontinue the Platform or a feature, in which case we will provide reasonable notice where practicable.

Upon termination: (a) the right to use the Platform ceases immediately; (b) any prepaid, unused Wallet balance that is not subject to an investigation, dispute, chargeback, or legal hold will be refunded, less any amounts owed to us and any processing costs, in accordance with applicable law; and (c) sections of these Terms which by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

9. Intellectual property

The Platform, including all software, designs, text, graphics, logos, and trademarks used in connection with it, is owned by Skurel or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during the term of these Terms.

You retain ownership of Content you submit to the Platform. You grant us a worldwide, royalty-free licence to host, process, transmit, and display your Content solely as necessary to provide and operate the Platform, including as described in our Privacy Policy.

You must not use our names, logos, or branding without our prior written consent, except as expressly permitted by the Platform’s functionality.

10. Third-party services

The Platform relies on and may interface with third-party services, including Payment Processors, sign-in providers, telecommunications providers, and cloud infrastructure providers. Your use of third-party services may be governed by separate terms and privacy policies issued by those third parties, and we are not responsible for third-party services except as required by applicable law.

Where the Platform presents links to third-party sites or services, such links are provided for convenience only and do not signify our endorsement of those sites or services.

11. Disclaimers

To the fullest extent permitted by applicable law, the Platform is provided “as is” and “as available”, and Skurel disclaims all warranties and conditions of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Platform or our systems are free of harmful components. You acknowledge that you use the Platform at your own discretion and risk.

12. Limitation of liability

To the fullest extent permitted by applicable law, neither Skurel nor its affiliates, directors, employees, or agents will be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunities, arising out of or in connection with these Terms or your use of (or inability to use) the Platform.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, will not exceed the total fees you paid to us for use of the Platform in the twelve (12) months immediately preceding the event giving rise to the claim, or the amount of any disputed prepaid balance, whichever is lower.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

13. Indemnification

You agree to indemnify, defend, and hold harmless Skurel and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform in breach of these Terms or applicable law; (b) your Content; (c) any dispute between you and a third party, including a payment dispute, in connection with the Platform; or (d) your breach of the rights of any third party.

14. Governing law and dispute resolution

These Terms and any dispute arising out of or in connection with them are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws principles.

The parties will first attempt to resolve any dispute informally through good-faith negotiation. If the dispute is not resolved within thirty (30) days of the matter being raised in writing, the dispute will be referred to and finally resolved by arbitration under the Arbitration and Mediation Act, 2023 (Nigeria) or any successor legislation. The seat of arbitration will be Lagos, Nigeria, the language of the arbitration will be English, and the tribunal will consist of one arbitrator. Subject to the foregoing, the courts of Nigeria have non-exclusive jurisdiction over matters arising from these Terms, including for injunctive or urgent relief.

15. Changes to these Terms

We may amend these Terms from time to time. Where an amendment materially reduces your rights or materially increases your obligations, we will provide reasonable advance notice through the Platform or by email before the amendment takes effect. Your continued use of the Platform after the effective date of an amendment constitutes acceptance of the amended Terms. If you do not agree to an amendment, you may stop using the Platform and terminate your Account.

16. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. These Terms, together with the Privacy Policy and any additional terms referenced in them, constitute the entire agreement between you and Skurel relating to the Platform and supersede all prior agreements and understandings.

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
